The Trustee’s role is to direct the affairs and ensure legal compliance of the charity. Trustees are ultimately responsible for the charity’s management and administration, ensuring that it is solvent, well run and meeting the needs for which it has been set up.

Currently our Trustees are Kevin Scott and Gareth Johnson.

Relationship between Trustees and Spiritual Leadership of the Church

Responsibility and authority for spiritual leadership rests with the Senior Pastor and the Leadership Team. It is essential that the Trustees and the Spiritual Leadership of the Church work in partnership.

The Trustees must be positively engaged in and supportive of the vision of the church, promoting unity and considerate of the spiritual direction of the church and the views of the spiritual leaders in all decision making.

Statutory Duties

Compliance – Trustees must:

  • Ensure that the charity complies with charity law, and with the requirements of the Charity Commission as regulator; in particular ensure that the charity prepares reports on what it has achieved and Annual Returns and accounts as required by law.
  • Ensure that the charity does not breach any of the requirements or rules set out in its governing document and that it remains true to the charitable purpose and objects set out there in.
  • Comply with the requirements of other legislation and other regulators (if any) which govern the activities of the charity.
  • Act with integrity, and avoid any personal conflicts of interest or misuse of charity funds or assets.
  • Ensure compliance with Employment Law in the employment of all charity staff and compliance with Health & Safety legislation in all affairs.
  • Ensure that the charity is and will remain solvent.
  • Use charitable funds and assets reasonably, and only in furtherance of the charity’s objects.
  • Avoid undertaking activities that may place the charity’s funds, assets or reputation at undue risk.
  • Take special care when investing the funds of the charity, or borrowing funds for the charity to use.
  • Use reasonable care and skill in their work as Trustees, using their personal skills and experience as needed to ensure that the charity is well-run and efficient.
  • Consider getting external professional advice on all matters where there may be material risk to the charity, or where the Trustees may be in breach of their duties.
  • Ensure the effective & efficient administration of the organisation.
  • Protect and manage the property of the charity.
  • Safeguard the reputation and values of the organisation.

Trustee Liability

Personal liability is somewhat limited for an incorporated charity because third parties can sue the charity itself as a separate legal entity, rather than individual trustees.

If a Trustee acts dishonestly, negligently or outside the powers granted to Trustees in the Governing Document, that Trustee will normally be personally liable for any loss that the charity incurs without limit.

In a Charitable Incorporated Organisation, Trustees should comply with the legal requirements and duties set out in the Companies Act 2006.


Appointment of new Trustees will be carried out by the Board of Trustees, with the agreement of the Leadership Team, usually when the number of Trustees falls below that set out in the charity’s Governing Document, or where the board would like someone with a particular skill set to contribute to the team. All Trustees, must act in the charity’s interests, and must not represent the interests of any outside organisation or their own personal interests.

Terms of Service

A minimum of 3 years after which Trustees may be asked to serve for a further year. This is identified as best practice and allows individuals to evaluate their own participation on a regular basis.

The set terms do not preclude Trustees from resigning at any other time, or the unfortunate situation of having to be removed as a Trustee.

Delegation of Responsibilities

Trustees can generally delegate certain powers to agents or employees, but will and must always retain the ultimate responsibility for running the charity. There will therefore be staff within the Church working on the legal, financial and administrative aspects that the Trustees remain ultimately responsible for.

Personal Requirements

  • 18 years or over
  • No convictions of a serious crime
  • Never have been declared bankrupt or disqualified as a company director
  • Personally committed to and supportive of the vision of Oak’s Community Church
  • Prepared to work in partnership with and supportive of the Spiritual Leadership of the Church as an effective member of the board of Trustees
  • Willing to devote the necessary time & effort to fulfil the duties of a Trustee
  • Sound, independent judgement
  • Willingness to speak their mind and challenge the status quo where decisions do not promote the purpose for which the Charity exists or the Trustees’ responsibilities for running it
  • Understanding and accepting of the legal duties, responsibilities and liabilities of Trusteeship
  • Positive attitude towards promoting the work of the Church and the unity of it’s Governing Leadership
